Sodium Software Ltd ("we", "us", "our") operates the following platforms:

  • SodiumHQ – a practice management platform for UK accountants
  • CIS Manager – a platform for managing Construction Industry Scheme (CIS) compliance, subcontractor verification with HMRC, and contractor-subcontractor invoicing

These Terms of Service ("Terms") govern your use of our platforms. By using our services, you agree to these Terms.

1. Who We Are

Sodium Software Ltd operates SodiumHQ and CIS Manager. We are registered in the United Kingdom at Amelia House, Crescent Road, Worthing, West Sussex, BN11 1RL, United Kingdom (Company No. 16240788).

2. Eligibility and Account Creation

Our platforms are intended for genuine business use. SodiumHQ is designed for accounting practices and professionals. CIS Manager is designed for contractors, subcontractors, and accountants or bookkeepers managing accounts within the Construction Industry Scheme. By creating an account, you confirm that you are using the service for legitimate business purposes.

You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account.

3. User Responsibilities

As a user of our platforms, you agree to:

  • Ensure the accuracy of all data you enter into the platform
  • Accept responsibility for all activity conducted through your account
  • Only share account access with trusted individuals acting on your behalf
  • Comply with all applicable laws and regulations in your use of the service

4. Services, Subscription and Payment

Our platforms offer both free and paid subscription plans. Pricing and features may change from time to time.

We do not offer refunds. If a payment fails, we will attempt to retry the payment. Continued non-payment may result in suspension of your account.

5. Suspension and Termination

You may cancel your account at any time. We reserve the right to suspend or terminate accounts for non-payment or suspicious activity that breaches these Terms.

6. Acceptable Use

You agree not to:

  • Use the service for any unlawful purpose
  • Attempt to reverse engineer or decompile any part of the service
  • Send spam or unsolicited communications through the platform
  • Scrape or collect data from the service except through our authorised API
  • Interfere with or disrupt the integrity of the service

7. Data and Privacy

We process data as a data processor in accordance with our Privacy Policy. You are responsible for ensuring your use of our platforms complies with GDPR and other applicable data protection laws.

8. Service Availability and Support

While we strive to maintain high availability, we do not guarantee uninterrupted access to the platform. The service may be suspended for maintenance or due to technical issues.

9. Limitation of Liability

To the maximum extent permitted by law, our total liability shall not exceed the amount you paid to us (if any) in the previous 12 months.

We may update these Terms from time to time. Material changes will be communicated via email or in-app notification. Continued use of the service after changes constitutes acceptance of the updated Terms.

These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
